1. Introduction
1.1 These Terms of Service (the "Terms") govern your access to and use of the OpsHero Tools platform available at opshero.tools (the "Platform"), operated by OpsHero OOD, UIC 202862235, with registered office at Sinanishko ezero 9A str., 1680 Sofia, Bulgaria ("OpsHero", "we", "us", or "our").
1.2 The Platform provides a suite of free DevOps audit tools (the "Tools") covering CI/CD, FinOps, Security, Compliance, Kubernetes, Site Reliability Engineering, and related categories.
1.3 By accessing or using the Platform, you (the "User" or "you") agree to be bound by these Terms, by the Privacy Policy, and by the Mutual Non-Disclosure Agreement governing the handling of data you submit to the Tools. If you do not agree to any of these documents, you must not access or use the Platform.
1.4 These Terms constitute a legally binding agreement between you and OpsHero. The individual accepting these Terms on behalf of a legal entity represents and warrants that they have full authority to bind such entity.
2. Acceptance and eligibility
2.1 Acceptance. You accept these Terms by taking an affirmative action to indicate acceptance (such as ticking a checkbox and clicking an "I Agree" or equivalent button) when providing the requested information to access the Tools.
2.2 Required Information. Access to the Tools requires you to provide your name, email address, and job role. You agree that the information you provide is accurate, current, and complete, and that you will update it as needed.
2.3 Eligibility. You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction. The Platform is intended for use by DevOps, engineering, security, IT operations, and related professionals.
2.4 No Account Required. The Platform does not require the creation of a persistent user account. Each session is treated as an independent use of the Tools.
2.5 Electronic Execution under eIDAS. You expressly agree that these Terms may be executed by electronic means and that your affirmative acceptance constitutes a valid electronic signature within the meaning of Regulation (EU) No 910/2014 (eIDAS Regulation) and the Bulgarian Electronic Document and Electronic Trust Services Act. In accordance with Article 25(1) of the eIDAS Regulation, the legal effect of these Terms shall not be denied solely on the grounds that they are in electronic form.
3. The Tools
3.1 Description. The Tools are automated audit and analysis utilities designed to evaluate aspects of DevOps practices, infrastructure configurations, and operational maturity. The Tools may accept user input in the form of configuration files (such as Terraform code, Kubernetes manifests, CI/CD pipeline definitions, and similar artifacts) and produce reports, scores, recommendations, or other outputs (the "Outputs").
3.2 Free of Charge. The Tools are currently provided free of charge. OpsHero reserves the right to introduce paid features, usage limits, or premium tiers in the future, provided that any such changes will not affect the terms applicable to your prior use.
3.3 No Service Level Commitment. OpsHero makes no commitment regarding the uptime, availability, or performance of the Platform. The Platform may be unavailable from time to time for maintenance, upgrades, or other reasons.
3.4 Beta and Experimental Features. Some Tools may be designated as "beta", "experimental", or similar. Such Tools are provided for evaluation purposes, may contain errors or produce inaccurate results, and may be modified or discontinued at any time.
4. Acceptable use policy
4.1 Authorisation to Audit. You may only use the Tools to audit infrastructure, configurations, code, or systems that you own or that you are expressly authorised to audit. You represent and warrant that you have all necessary rights, authorisations, and permissions to submit any data, code, or configuration to the Tools. Use of the Tools to audit third-party systems without authorisation may constitute a violation of applicable law (including but not limited to the Bulgarian Criminal Code, the EU Directive 2013/40/EU on attacks against information systems, the U.S. Computer Fraud and Abuse Act, and equivalent laws in other jurisdictions).
4.2 Prohibited Uses. You shall not, and shall not permit any third party to:
- use the Tools to audit, scan, probe, test, or analyse any system, infrastructure, or configuration without proper authorisation from the owner or operator of that system;
- submit to the Tools any data containing secrets, credentials, API keys, passwords, tokens, certificates, or other sensitive authentication material;
- submit to the Tools any personal data (within the meaning of Regulation (EU) 2016/679 (GDPR)) of third parties, or any data that you are not authorised to share with OpsHero;
- use the Tools to develop, train, improve, or benchmark any competing product or service;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying methodology of the Tools, except to the extent expressly permitted by applicable law;
- interfere with, disrupt, overload, or attempt to gain unauthorised access to the Platform, its servers, or its underlying infrastructure;
- circumvent or attempt to circumvent any rate limits, access controls, or security measures of the Platform;
- use automated means (such as scrapers, bots, or scripts) to access the Tools beyond the documented APIs and at scale, without OpsHero's prior written consent;
- use the Tools for any unlawful, fraudulent, deceptive, harmful, or malicious purpose;
- use the Tools to generate, distribute, or facilitate the distribution of malware, viruses, exploits, or other harmful code;
- submit content that infringes any third-party intellectual property rights, privacy rights, or other rights;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity, when providing your name, email, or job role;
- resell, redistribute, sublicense, or commercially exploit access to the Platform or the Tools without OpsHero's prior written consent.
4.3 Compliance with Laws. You shall comply with all applicable laws, regulations, and third-party agreements when using the Tools. You are solely responsible for ensuring that your use of the Tools complies with the laws of your jurisdiction and any jurisdiction in which the systems being audited are located.
4.4 Suspension and Termination for Misuse. OpsHero reserves the right to suspend or terminate your access to the Platform at any time, without notice, if it believes in good faith that you have violated this Section 4 or any other provision of these Terms.
4.5 Reporting Abuse. If you become aware of any actual or suspected misuse of the Tools, please report it to OpsHero at [email protected].
5. User content and data you submit
5.1 Submitted Data. Any configuration files, code, text, or other data you upload to or input into the Tools (the "Submitted Data") remains your property. You retain all intellectual property rights in your Submitted Data.
5.2 Limited Licence to OpsHero. You grant OpsHero a worldwide, non-exclusive, royalty-free, time-limited licence to access, process, store, and analyse your Submitted Data solely for the purpose of operating the Tools, generating the Outputs you request, and providing them back to you. This licence terminates when OpsHero deletes your Submitted Data in accordance with the Mutual NDA and the Privacy Policy.
5.3 No Other Use. OpsHero will not use your Submitted Data for any purpose other than as described in Section 5.2. In particular, OpsHero will not:
- sell, lease, or commercially exploit your Submitted Data;
- use your Submitted Data to train any machine learning or artificial intelligence models;
- disclose your Submitted Data to any third party except as required by law or as expressly permitted in the Mutual NDA and the Privacy Policy.
5.4 Your Responsibility. You are solely responsible for the Submitted Data and represent and warrant that:
- you have all necessary rights to submit the Submitted Data;
- the Submitted Data does not contain personal data, secrets, credentials, or other sensitive information prohibited under Section 4.2;
- the Submitted Data does not infringe any third-party rights;
- the Submitted Data does not contain malware, viruses, or other harmful code.
5.5 Removal of Submitted Data. OpsHero may, at its discretion and without notice, remove or refuse to process any Submitted Data that it believes violates these Terms or applicable law.
6. Outputs and ownership
6.1 Ownership of Outputs. Subject to Section 6.2 and Section 7, the Outputs generated by the Tools in response to your Submitted Data belong to you. You may use, modify, distribute, publish, and exploit the Outputs for any lawful purpose, including commercial purposes, without any obligation to OpsHero (other than as set out in Section 6.3).
6.2 OpsHero's Underlying Materials. Notwithstanding Section 6.1, OpsHero retains all right, title, and interest in and to: the Tools themselves; the Platform; the underlying software, algorithms, scoring methodologies, audit frameworks, rule sets, and analysis logic used to generate the Outputs; the OpsHero name, logo, and brand assets; and any templates, formats, or generic recommendation language not derived from your Submitted Data (collectively, the "OpsHero Materials").
6.3 Attribution (Optional, Appreciated). When sharing or publishing Outputs externally, you are encouraged (but not required) to attribute the source as "Generated using OpsHero Tools (tools.opshero.dev)". This is a courtesy, not a contractual obligation.
6.4 Accuracy of Outputs. The Outputs are generated automatically based on heuristics, rules, and analysis logic. OpsHero does not warrant that the Outputs are accurate, complete, current, fit for any particular purpose, or suitable for use in any specific decision-making context. You are solely responsible for evaluating the Outputs and determining whether and how to act upon them. The Outputs do not constitute professional advice and should not be relied upon as a substitute for engagement with qualified DevOps, security, compliance, or legal professionals.
7. Intellectual property
7.1 OpsHero's Intellectual Property. The Platform, the Tools, the OpsHero Materials, and all related intellectual property (including copyrights, trademarks, trade secrets, patents, and database rights) are and shall remain the exclusive property of OpsHero or its licensors. Nothing in these Terms grants you any right, title, or interest in or to OpsHero's intellectual property, except for the limited right to access and use the Platform in accordance with these Terms.
7.2 Feedback. If you provide OpsHero with any feedback, suggestions, ideas, or improvements relating to the Platform or the Tools ("Feedback"), you grant OpsHero a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, modify, and incorporate such Feedback into its products and services, without obligation or compensation to you.
7.3 Trademarks. "OpsHero" and the OpsHero logo are trademarks of OpsHero OOD. You may not use these trademarks without OpsHero's prior written consent, except for purposes of identification and attribution as permitted by these Terms.
8. Privacy
8.1 Your use of the Platform is also governed by the OpsHero Tools Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how OpsHero collects, processes, stores, and protects personal data.
8.2 The handling of Submitted Data is further governed by the Mutual NDA you accepted when accessing the Platform.
9. Marketing communications
9.1 If, at the time of providing your contact information, you separately and affirmatively opt in to receive marketing communications from OpsHero (by ticking a dedicated, non-pre-ticked checkbox for that purpose), OpsHero may send you communications relating to OpsHero's products, services, events, and content.
9.2 You may withdraw your consent to receive marketing communications at any time, free of charge, by:
- clicking the "unsubscribe" link at the bottom of any marketing email; or
- sending an email to [email protected].
9.3 Withdrawal of marketing consent does not affect the lawfulness of processing carried out before the withdrawal, nor does it affect your ability to continue using the Platform.
9.4 Service-related communications (such as security notices, material changes to these Terms, or responses to inquiries you have submitted) are not marketing communications and may be sent regardless of your marketing preferences.
10. Disclaimers
10.1 AS-IS BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND THE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
10.2 No Professional Advice. The Tools and the Outputs do not constitute and are not a substitute for professional DevOps, security, compliance, legal, financial, or other professional advice. You should consult qualified professionals before making any decisions based on the Outputs.
10.3 Third-Party Systems. The Tools may reference, evaluate, or interact with third-party systems, standards, frameworks, or specifications. OpsHero does not endorse, warrant, or assume responsibility for any third-party content, system, or service.
10.4 No Guarantee of Compliance. A favourable result from any Tool does not guarantee compliance with any law, regulation, standard, certification, or contractual requirement. You remain solely responsible for your compliance obligations.
11. Limitation of liability
11.1 Limitation of Direct Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF OPSHERO ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, THE TOOLS, OR YOUR USE THEREOF, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, SHALL NOT EXCEED FIVE THOUSAND EURO (€5,000) IN THE AGGREGATE.
11.2 Exclusion of Indirect Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPSHERO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, OR THE TOOLS, EVEN IF OPSHERO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Carve-Outs. Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law, including: (a) liability for death or personal injury caused by negligence; (b) liability for fraud or fraudulent misrepresentation; and (c) any other liability that cannot be lawfully limited.
11.4 Reasonableness of Limitation. You acknowledge that the limitations of liability set forth in this Section 11 are a fundamental basis of the bargain between you and OpsHero, that the Platform is provided free of charge, and that OpsHero would not provide the Platform on these terms without such limitations.
12. Indemnification
12.1 You agree to indemnify, defend, and hold harmless OpsHero, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Platform or the Tools in violation of these Terms or applicable law;
- your Submitted Data;
- your violation of any third-party rights, including intellectual property, privacy, or contractual rights;
- any unauthorised audit, scan, or analysis of third-party systems conducted using the Tools.
13. Changes to these Terms
13.1 OpsHero may modify these Terms from time to time. The current version of the Terms, identified by version number and effective date, will be available at this page.
13.2 Material changes will be communicated by reasonable means, which may include a notice on the Platform or an email to the address you provided. Material changes will take effect no earlier than thirty (30) days after notice.
13.3 Your continued use of the Platform after the effective date of a modified version of these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.
13.4 Versions of these Terms accepted by you in the past remain available upon request to [email protected].
14. Suspension and termination
14.1 Termination by You. You may stop using the Platform at any time. There is no formal termination process for users.
14.2 Termination by OpsHero. OpsHero may suspend or terminate your access to the Platform at any time, with or without notice, including in the event of:
- violation of these Terms (including the Acceptable Use Policy in Section 4);
- any conduct that OpsHero believes, in good faith, may harm OpsHero, other users, or third parties;
- discontinuation of the Platform or any Tool;
- requirement by law, regulation, or competent authority.
14.3 Effect of Termination. Upon termination, your right to access the Platform ceases. Sections that by their nature should survive termination shall survive, including without limitation Sections 5 (User Content and Data You Submit), 6 (Outputs and Ownership), 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 16 (Governing Law and Jurisdiction).
15. Force majeure
15.1 OpsHero shall not be liable for any failure or delay in performance under these Terms to the extent caused by events beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labour disputes, internet or telecommunications failures, cyberattacks, or pandemics.
16. Governing law and jurisdiction
16.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Jurisdiction. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria.
16.3 Consumer Rights. If you are a consumer resident in the European Union and applicable mandatory consumer protection law grants you rights that cannot be excluded or modified by contract, such rights shall apply notwithstanding anything to the contrary in these Terms. Nothing in this Section 16 deprives you of the protection afforded by mandatory provisions of the law of the country of your habitual residence.
16.4 Online Dispute Resolution. The European Commission provides a platform for online dispute resolution available at ec.europa.eu/consumers/odr. OpsHero is not obliged and does not commit to participate in alternative dispute resolution proceedings before a consumer arbitration board.
17. General provisions
17.1 Entire Agreement. These Terms, together with the Mutual NDA and the Privacy Policy, constitute the entire agreement between you and OpsHero with respect to the Platform and supersede all prior or contemporaneous understandings.
17.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 No Waiver. No failure or delay by OpsHero in exercising any right under these Terms shall constitute a waiver of such right.
17.4 Assignment. You may not assign or transfer these Terms, in whole or in part, without OpsHero's prior written consent. OpsHero may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.
17.5 No Agency. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and OpsHero.
17.6 Notices to OpsHero. All notices to OpsHero under these Terms shall be in writing and delivered to [email protected], with a copy to the registered office address above.
17.7 Notices to You. Notices to you will be delivered to the email address you provided when accessing the Platform.
17.8 Headings. Headings are for convenience only and do not affect interpretation.
17.9 Language. These Terms are drafted in English. Any translation is provided for convenience only; in case of conflict, the English version prevails.
